Olga Khokhlova

Professional background

Olga has over 15 years of experience in advising on corporate law, M&A transactions, and finance deals.
Prior to joining Tomashevskaya & Partners, Olga worked in international law firms White & Case and Freshfields, and she headed the legal department of PJSC Severstal’s Mining Division and the legal team of an investment fund with assets of $1 billion.

Olga has facilitated multibillion-dollar M&A deals and has established large joint ventures, holdings structuring, as well as complex international commercial arbitrations. Olga’s teams included more than 50 lawyers.

Professional background

Dmitry joined Tomashevskaya & Partners in 2017 and has vast experience in legal support of complex investments, M&A transactions and commercial matters under English and Russian law.

For more than 9 years Dmitry worked as the International General Counsel of PJSC MMC Norilsk Nickel, one of the largest metals and mining companies in the world. He was in charge of its legal support on major M&A and investment projects, cross-border transactions, external financing and fund raising arrangements (including multibillion syndicated loans), Eurobond placements as well as streamlining the ownership and holding structure of foreign assets. He also provided supervision, coordination, and legal aid to more than 50 subsidiary companies in more than 15 foreign jurisdictions. 

Dmitry was a member of the board of directors of seven foreign production, mining, and investment companies in Europe, Australia, Africa and other jurisdictions with an annual turnover of more than 1 billion euros.

Viktor Shmakov

Professional background

Victor has more than 11 years of legal experience with the primary focus on corporate and financial transactions, particularly M&As, establishment of JVs and related shareholders’ arrangements, corporate and debt restructurings, deals on domestic and international debt and equity capital markets (IPO, SPO, Eurobond offerings), financing as well as corporate governance and various regulatory matters.

Prior to joining Tomashevskaya & Partners, Victor worked at Cleary Gottlieb Steen and Hamilton where he gained broad experience in advising Russian and foreign business across various industries, especially TMT, IT, media and technologies. Victor has also advised clients on venture investments, private equity deals and UBOs personal projects.

Nikolay Simoyanov

Professional background

Nikolay Simoyanov has significant experience regarding complex structuring of activity and deals, consulting on complicated taxation issues for extracting, processing and infrastructural companies.
In addition, Nikolay was involved in a number of projects relating to international structuring and transfer pricing.

Since 2004 Nikolay has been successfully defending interests of taxpayers in the course of tax audits and challenging their results in litigation and pre-litigation tax disputes

Prior to joining Tomashevskaya & Partners, Nikolay Simoyanov was a senior manager of KPMG Russia and CIS Tax and Legal Department.

Zhanna has vast experience in advising on international and Russian projects for key clients. She currently specializes in structuring sophisticated corporate projects and offering legal support for complex transactions.

Zhanna was the head of the Moscow office of a major law firm from 2012 to 2016. Before that, she led the corporate department of a large investment company, where she handled issues regarding the corporate structuring of corporate groups, provided support on fund-raising transactions, and supported M&A deals.

For the past several years, Zhanna has been recommended by Best Lawyers as one of Russia’s foremost professionals in corporate law, and as part of Tomashevskaya & Partners, has been awarded top rankings by Chambers & Partners and the Kommersant newspaper.

Zhanna is a member of the working group initiated by the Russian government and the Central Bank of Russia, whose goal is to draft legislation on cryptocurrency regulation in Russia.

Roman has vast experience in legal support of complex IT/ fintech projects and venture deals under English and Russian law.

Prior to joining Tomashevskaya & Partners, Roman was a partner at a mid-level Russian law firm specializing in TMT projects. He has 10 years of experience in IP & IT and has provided legal support for hundreds of Russian startups and Internet businesses as well as venture and PE funds.

Roman is also well-known as an academic. He is an associate professor in the Department of Business Law at Lomonosov Moscow State University and is a lecturer at the reputable Moscow Institute of Physics and Technology. His book Zakon Startapa (''Startup Law") and multimedia online course ''Legal Support of Startup Projects" (together with A. Molotnikov) have won both local and international awards.
