KEY RESPONSIBILITIES
support of M&A transactions under Russian and/or foreign law (mainly with shares and shares of legal entities), projects for creation of a joint venture and restructuring of acquired assets;
development of an optimal structure for the ownership of assets and their protection, in cooperation with the tax and other practices of the company;
advising tech companies on issues of structuring shareholder relations, entering new markets and other business issues, when interacting with IP and other firm practices;
structuring and legal support of investments in fintech projects and startups in various jurisdictions;
preparation of complex or strategically important contracts, including convertible loans, contracts for the purchase of real estate, etc.
REQUIRED SKILLS AND EXPERIENCE
higher legal education;
2+ years of experience in M&A or corporate finance projects;
experience in conducting transactions under Russian or English law in consulting;
fluent English;
high motivation and desire to learn and grow.
